This Website Design Agreement (“Agreement”) is being made between (“Client”) and (“Web Designer”) Digital Narrative to design and develop a website.

Website in One Week Contract

This Website Design Agreement “Agreement” is being made between (“Client”) and (“Web Designer”) Digital Narrative to design and develop a website.

1. Services

The Web Designer will provide the following services:

  • Access to self-guided educational resources and content submission tool
  • Design and development of home page, contact page + up to 4 sub-pages
  • Built using Squarespace for easy self-editing 
  • First year of Squarespace fees (RRP $400)
  • Mobile optimisation
  • Integration of 2 x apps (e.g. Mailchimp)
  • Initial on-page SEO work
  • Copy proof-reading
  • Connection and publishing to your domain (URL)

The services will include one round of revisions. Additional rounds can be purchased if necessary. This is the scope of work the parties agree upon. For changes or additional requirements, a change order will have to be filled, agreed upon, and signed by both parties.

2. Cost and Payment

The Web Designer will charge $3,250 + GST for the services mentioned above as a fixed price. The payment may be divided into 2 payments, with a first deposit of $1,625 + GST being paid before work commences, and the remainder being paid upon website completion.

3. Schedule

The Client may take as long as necessary to work through the modules provided and submit all necessary assets for the website. The Web Designer will only begin building the website after all material has been provided via the module forms, and a week of building selected by the Client from the options supplied. 

The Web Designer will build the website to the first review stage within 7 business days, and provide a review link to the Client. The Client has the opportunity to request one round of changes, which the Web Designer will respond to within 7 business days again. Following this, the website will be published, or further rounds of revisions purchased by the Client.

4. Confidentiality

During the term of this agreement and afterward, the Web Designer will use reasonable care to prevent the unauthorized use or dissemination of Client’s confidential information. Confidential information is limited to information clearly marked as confidential.

Confidential information does not include information that: the Web Designer knew before Client disclosed it; is or becomes public knowledge through no fault of Web Designer; Web Designer obtains from sources other than Client who owe no duty of confidentiality to Client, or Developer develops independently.

5. Termination of Agreement

This Agreement will automatically terminate when both Parties have performed all their obligations under the Agreement and all payments have been made.

The Web Designer offers a 30-day ‘Cooling Off’ period in which the Client can decide the service is not right for them. If during this time, the program has NOT been commenced, the modules have not been accessed online, no content has been submitted and no other services (including but not limited to copywriting, photo editing) have not been engaged, the Client may apply for a partial refund. This refund is at the discretion of the Web Developer and will consist of between 25% – 75% of the fees paid out to date (dependent on whether the Client has paid in full, or has paid a 59% deposit).

6. Limitation of Liability

Neither party will be liable for breach-of-contract damages that are remote or speculative, or that the breaching party could not reasonably have foreseen on entry into this agreement.

7. Intellectual Property

The Client will own the website and any visuals provided by the Web Designer. The Web Designer will turn over all necessary files. The Client guarantees that they have legal rights to all elements of text, photographs, and anything else that they provide the Web Designer with, and will not hold the Web Designer responsible for any third-party claims.

The Web Designer will guarantee that they have legal rights to all elements related to the services they are providing and will not hold the client responsible for any third-party claims.

8. Dispute Resolution

If either party accuses the other of being in breach of contract, the accused party will have 30 days to address the breach.

9. Applicable Law

This Agreement shall be governed by and construed in accordance with the laws of Australia.
